1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the website, mobile application, and services (collectively, the "Platform") provided by NeuroFi Wealth Advisory ("NeuroFi", "we", "us", "our"), registered office at 33, 1st Floor, 1st Main, 1st Cross, Lakshmipura Layout, Devasandra, K R Puram, Bengaluru, Karnataka – 560036, India. By accessing the Platform or subscribing to our services, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

2. Regulatory Status

NeuroFi has applied for registration as an Investment Adviser with SEBI under the SEBI (Investment Advisers) Regulations, 2013 (Application No. 1670057). This application is currently under process and has not yet been granted. Accordingly, until such registration is granted, NeuroFi does not provide personalized investment advice (specific recommendations to buy, sell, or hold particular securities) for consideration. Our current services consist of financial planning, goal-based modeling, risk profiling, and educational/informational content, augmented by AI analysis and reviewed by our advisory team. Nothing on the Platform should be construed as a personalized recommendation to invest in any specific security or product until such time as our SEBI registration is granted and a separate investment advisory agreement is executed with you.

3. Description of Services

NeuroFi offers subscription-based access to tools and services that may include financial data aggregation (via Account Aggregator, with your consent), AI-assisted financial modeling, goal and risk analysis, structured financial plans, and access to our advisory team for discussion and guidance within the scope described in Section 2.

4. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract under the Indian Contract Act, 1872 to use the Platform. By using the Platform, you represent that you meet this requirement.

5. Subscriptions & Fees

  • Access to certain features requires a paid subscription. Applicable fees, billing frequency, and plan features are displayed at the time of purchase.
  • Subscription fees are processed through our third-party payment gateway partner, PayU. By subscribing, you also agree to PayU's applicable terms for payment processing.
  • Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date, in accordance with our Refund & Cancellation Policy.
  • We reserve the right to change subscription pricing prospectively, with notice to active subscribers before the change takes effect on their next billing cycle.

6. User Responsibilities

  • You are responsible for providing accurate and complete financial information. Plans and analyses generated by the Platform are only as reliable as the data you provide.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You agree not to misuse the Platform, attempt unauthorized access, or use it for any unlawful purpose.

7. No Guaranteed Outcomes

Investment in securities markets is subject to market risk. Past performance is not indicative of future results. NeuroFi does not guarantee any specific financial outcome, return, or the achievement of any financial goal modeled on the Platform. Financial models and projections are estimates based on assumptions and the data provided, and actual results may differ materially.

8. Intellectual Property

All content, design, text, graphics, software, and other material on the Platform is the property of NeuroFi or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our prior written consent.

9. Third-Party Services

The Platform integrates with third-party service providers, including payment processing (PayU), communications (Twilio), and Account Aggregator frameworks (such as OneMoney), each of which operates under its own terms and privacy policies. NeuroFi is not responsible for the acts or omissions of these independent third-party providers.

10. Limitation of Liability

To the maximum extent permitted by law, NeuroFi shall not be liable for any indirect, incidental, or consequential loss, including investment losses, arising from your use of the Platform or reliance on any financial plan, model, or content provided through it. Nothing in these Terms limits liability that cannot be excluded under applicable law.

11. Termination

You may terminate your subscription at any time in accordance with our Refund & Cancellation Policy. We may suspend or terminate your access to the Platform if you breach these Terms or engage in activity we reasonably believe to be fraudulent, unlawful, or harmful to NeuroFi or other users.

12. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated via email or an in-app notice, and continued use of the Platform after such changes constitutes acceptance of the revised Terms.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka.
